Parametric EQ 2 maybe not so transparent

Many times, when I insert PEQ2 into a slot, I notice I have less headroom in that mixer track. e.g. If I max out at -5db, when I insert PEQ2, my headroom will shrink to -2db or so, and it doesn't sound like an over-all gain boost at all. This isn't really a complaint; I like PEQ2 and like it's functionality. But why does this happen? Is it automatically cutting freq's at 20hz or lower and affecting the higher freq's?
